1. Introduction and Acceptance
These Terms of Service govern your access to and use of the website, communications, estimates, scheduling tools, and related services offered by Heritage Slate & Copper Roofing. By visiting our website, requesting information, scheduling an appointment, accepting an estimate, or otherwise engaging with us, you agree to these Terms. If you do not agree, you should not use our website or services.
Heritage Slate & Copper Roofing provides roofing-related services with a focus on slate, copper, and related exterior roofing work. These Terms apply to online interactions and general service engagement. Any written proposal, estimate, invoice, work order, or signed contract may include additional terms specific to a project. If there is a conflict between these Terms and a signed project agreement, the signed project agreement will control for that project.
These Terms are effective as of 2026-05-22. We may update them from time to time, and the updated version will apply when posted or otherwise made available. Your continued use of our website or services after an update means you accept the revised Terms.
2. About Our Services
Heritage Slate & Copper Roofing offers roofing services that may include inspection, consultation, repair, replacement, restoration, maintenance, and related work involving slate roofing, copper roofing elements, flashing, gutters, valleys, ridges, and associated components. The precise scope of any service will be described in a written estimate, proposal, invoice, or agreement.
Information provided on our website is for general informational purposes only. It is not a binding quote, warranty, engineering opinion, insurance determination, or guarantee of project feasibility. Roofing conditions can vary significantly based on age, structure, weather exposure, materials, prior repairs, and hidden conditions. Final pricing, schedule, methods, and materials may depend on an in-person inspection and written agreement.
We may decline, postpone, or modify services where safety, weather, access, permitting, material availability, structural concerns, or other practical considerations require it. We may also recommend that you consult another professional, such as an architect, engineer, chimney specialist, mold remediation provider, electrician, plumber, or insurance representative, where appropriate.
3. Estimates, Proposals, and Project Scheduling
Any estimate or proposal we provide is based on the information available at the time it is prepared. Unless expressly stated otherwise, estimates are not guaranteed fixed prices and may be subject to change if conditions differ from those observed, if hidden damage is discovered, if the requested scope changes, if materials increase in cost, or if code, permitting, safety, or access requirements change.
Project scheduling is subject to weather, material lead times, crew availability, emergency work, permitting, inspections, and site readiness. We will make reasonable efforts to communicate scheduling changes, but dates and timeframes are not guaranteed unless expressly stated in a signed agreement. Roofing work is especially sensitive to rain, snow, ice, wind, excessive heat, and other conditions that affect safety and workmanship.
You are responsible for providing accurate project information, safe and reasonable access to the property, and timely decisions regarding materials, colors, design selections, approvals, and change orders. Delays caused by lack of access, incomplete information, third-party approvals, unpaid invoices, or unsafe site conditions may affect the schedule and cost of the work.
4. Customer Responsibilities
You agree to use our website and services lawfully and responsibly. You will not submit false, misleading, infringing, unlawful, or abusive content through our website, forms, email, phone, or other communication channels. You will not attempt to interfere with our website security, access systems or data without authorization, introduce malware, scrape content in a manner that burdens our systems, or use our website for fraudulent purposes.
For service appointments and projects, you agree to provide truthful information about ownership, authorization, property condition, known hazards, prior leaks, prior repairs, structural issues, asbestos or lead concerns, electrical hazards, animal hazards, and other facts that may affect our work. If you are not the property owner, you represent that you have authority to request services and authorize access.
You are responsible for securing fragile or valuable items, clearing driveways and work areas where requested, protecting personal property in attics or areas below roof work, notifying occupants and neighbors as appropriate, and complying with any preparation instructions we provide. Roofing work may involve noise, vibration, dust, debris, temporary disruption, and limited access to portions of the property.
5. Payments, Deposits, Change Orders, and Collection
Payment terms will be stated in the applicable estimate, invoice, proposal, or written agreement. We may require a deposit, progress payments, or payment upon completion, depending on the project. You agree to pay all amounts owed when due. Unless otherwise stated in writing, prices are in U.S. dollars.
Changes to the approved scope of work may require a written or otherwise documented change order and may affect the price and schedule. Examples include additional repair work, upgrades in materials, discovery of concealed damage, added flashing work, decking replacement, structural modifications, or changes requested after materials are ordered.
If payment is late, we may pause work, decline additional services, charge permitted late fees or interest where allowed by law and contract, recover collection costs where permitted, and pursue other lawful remedies. You may not withhold payment for undisputed work because of a separate dispute over unrelated services. Any payment dispute should be raised promptly in writing at info@heritageslatecopper.com.
6. Materials, Workmanship, Warranties, and Limitations
Any warranties applicable to a project will be described in the written proposal, invoice, manufacturer documentation, or signed agreement. Manufacturer warranties may be subject to separate terms, exclusions, registration requirements, maintenance obligations, and limitations established by the manufacturer. We do not control manufacturer warranty decisions.
Unless expressly stated in writing, we do not warrant that existing structures, prior work performed by others, underlying decking, framing, masonry, chimneys, skylights, ventilation systems, insulation, gutters, or drainage conditions are free from defects. Roofing leaks may have multiple causes, and water can travel before becoming visible. Repair of one issue does not guarantee that other unrelated issues will not appear later.
To the fullest extent permitted by law, all website content and general information are provided on an as is and as available basis. We disclaim implied warranties related to the website, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Nothing in these Terms limits any non-waivable rights you may have under applicable law or any express written warranty we provide.
7. Permits, Codes, Historic Properties, and Third Parties
Some projects may involve permits, inspections, homeowner association approvals, historic district requirements, insurance requirements, or other third-party approvals. Unless our written agreement states otherwise, you are responsible for identifying and obtaining approvals required from owners, associations, lenders, insurers, tenants, historic review boards, or other third parties. Where we agree to assist with permits, your cooperation may still be required.
Heritage Slate & Copper Roofing works in a field where historic materials, traditional methods, and specialty components may be involved. Matching existing slate, copper patina, metal profiles, tile dimensions, color variation, or aged materials may not always be exact. Natural slate and copper materials can vary in appearance, texture, weathering, and availability.
We are not responsible for delays or costs caused by third parties, including government offices, inspectors, suppliers, delivery providers, other contractors, insurance adjusters, utility providers, or property managers. We may coordinate with third parties when appropriate, but such coordination does not make us responsible for their acts, omissions, conclusions, or delays.
8. Website Content and Intellectual Property
All content on our website, including text, photographs, service descriptions, logos, graphics, layout, and other materials, is owned by or licensed to Heritage Slate & Copper Roofing unless otherwise indicated. You may view and use the website for personal, non-commercial purposes related to learning about or requesting our services.
You may not copy, reproduce, distribute, modify, display, sell, or exploit our website content without our prior written permission, except as allowed by applicable law. You may not use our name, logo, photographs, or project images in a way that suggests endorsement, affiliation, or authorization without our consent.
If you submit reviews, testimonials, photographs, comments, or other content to us, you represent that you have the right to do so and that the content is accurate to the best of your knowledge. Unless prohibited by law or agreed otherwise, you grant us permission to use non-confidential feedback and testimonials for business, quality, and marketing purposes. We will handle personal information in accordance with our applicable privacy practices.
9. Communications, Electronic Notices, and Marketing
By contacting us, submitting a form, requesting an estimate, or providing your contact information, you authorize us to contact you regarding your inquiry, appointment, estimate, project, invoice, service updates, and related business matters. Communications may occur by email, phone, text message, mail, or other methods you provide.
You agree that electronic communications may satisfy legal requirements that communications be in writing, to the extent permitted by law. You are responsible for keeping your contact information current and for monitoring communications related to appointments, estimates, project scheduling, and invoices.
If we send promotional communications, you may opt out as described in the message or by contacting us at info@heritageslatecopper.com. Opting out of promotional messages does not prevent us from sending transactional or service-related communications, such as scheduling, estimate, safety, payment, warranty, or project notices.
10. Disclaimers and Limitation of Liability
To the fullest extent permitted by applicable law, Heritage Slate & Copper Roofing and its owners, employees, contractors, suppliers, and representatives will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, loss of use, business interruption, loss of data, or diminution in value, arising from or related to the website, communications, estimates, or services, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total liability for claims arising from or related to the website or general communications will not exceed one hundred dollars. For claims arising from a specific paid project, our liability will be limited to the amount you paid us for the portion of the work giving rise to the claim, unless a different limitation is stated in a signed agreement or prohibited by law.
These limitations apply to all legal theories, including contract, tort, negligence, strict liability, warranty, and statutory claims. Some jurisdictions do not allow certain limitations of liability or exclusions of damages, so some limitations may not apply to you. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Heritage Slate & Copper Roofing and its owners, employees, contractors, suppliers, and representatives from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your misuse of the website, your violation of these Terms, your submission of unlawful or infringing content, your failure to provide accurate information or safe access, or your lack of authority to request services for a property.
This indemnification obligation does not apply to the extent a claim is caused by our own gross negligence, willful misconduct, or other conduct for which indemnification cannot be required under applicable law. We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate reasonably with that defense.
12. Governing Law, Disputes, and Contact Information
These Terms and any dispute arising from or related to our website, communications, estimates, or services are governed by the laws of the State of Maryland and applicable federal law, without regard to conflict of law rules. Unless a signed agreement states otherwise, the state or federal courts located in Maryland will have jurisdiction over disputes that proceed in court, subject to any mandatory venue or consumer protection rules that may apply.
Before filing a formal claim, you agree to contact us and attempt in good faith to resolve the issue informally. Please send a written description of the issue, relevant dates, project information, photographs if applicable, and your requested resolution to info@heritageslatecopper.com or to 124 East Patrick Street, Frederick, MD 21701, US. We will make reasonable efforts to review and respond.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be interpreted or modified to the extent necessary to make it enforceable. Our failure to enforce a provision is not a waiver of our right to enforce it later. These Terms, together with any applicable written estimate, invoice, proposal, or signed agreement, constitute the relevant agreement between you and Heritage Slate & Copper Roofing regarding the subject matter described.
